Introducing Fish Pools 🐟

Fish Network began with a simple observation: capital formation is still one of the least programmable parts of the financial system.

While software has become modular and composable, pooling capital remains fragmented, opaque, and expensive.

To address this, we developed Fish Pools — a standardized primitive for pooling capital in a transparent and programmable way.

Fish Pools are not a standalone product, but the foundation of a broader system that includes governance, identity, and trust layers designed to coordinate how capital is deployed collectively.

By open sourcing Fish Pools, we aim to establish a shared foundation for programmable capital coordination, while continuing to build the layers that make these systems scalable and powerful.

We believe this marks the beginning of a new category: programmable capital coordination.

The Building Block of Collaborative Investing

For decades, capital pooling has relied on structures that were never designed for speed, transparency, or participation. This required legal agreements with disparate financial incentives stitched together with outdated technology as a bandaid solution, with humans acting as rent-seeking middle-men charging fees, until now.

What is a Fish Pool?​

The Fish Pool is the atomic unit of investment in the Fish Network ecosystem.

A Fish Pool is an efficient, transparent, and deterministic single-asset investment vehicle powered by smart contracts and governed by its members.

A Fish Pool is the integrated legal, financial, and technical capital pooling mechanism for which individual private market assets are owned, capitalized, and transacted.

Investors:

  • Pool capital (typically in USDC)

  • Receive tokens representing ownership

  • Participate in voting on investments

  • Automatically receive distributions Everything is:

  • Transparent

  • Programmable

  • On-chain No intermediaries. No black boxes.

Just clean capital coordination.

Fish Pool vs Traditional Structures​

SPVs (Special Purpose Vehicles)​

SPVs are the industry standard for single-deal investing.

But they come with tradeoffs:

  • Static governance (no investor input after commitment)
  • Manual distributions
  • Opaque reporting
  • High legal + administrative overhead

Fish Pools upgrade this model:

CrowdSafe​

CrowdSafe (used by platforms like Wefunder) simplifies early-stage investing, but:

  • Returns depend on platform-managed processes
  • Limited transparency into underlying mechanics

Fish Pools go further:

  • Investors actively participate (voting rights)
  • Ownership is represented via blockchain tokens
  • Returns are programmatically distributed
  • Everything is verifiable in real time

Fish Shoals will coordinate Schools and Pools to streamline the proven multi-manager approach to risk mitigation and sophisticated capital deployment strategies. Fish Shoals coordinate Pools to enable investors to collaborate on deal-by-deal investing to enable community coordinated investing.

At its core:

  • Fish Pool = Single asset investment vehicle
  • Fish School = Collection of Pools where investors decide and invest together
  • Fish Shoal = Network of Schools and Pools

Shoal Leads organize pools and schools on behalf of their broader investor network.

Upon closing our Seed round, Fish Network will open source the Fish Pool framework, enabling builders, communities, and platforms to deploy their own collaborative investment vehicles using Fish Pools as a core building block.
